Subscription Terms for Florida State Filing LLC

1. AGREEMENT TO SUBSCRIPTION TERMS

These Subscription Terms ("Terms") outline the terms and conditions for using the subscription-based services provided by Florida State Filing LLC ("FSF," "Company," "we," "us," or "our"). By subscribing to or using our Subscription Services, you acknowledge that you have read, understood, and agreed to these Terms, along with our Terms of Use and Privacy Policy. If you do not agree, you must refrain from using our subscription services.

2. SUBSCRIPTION OVERVIEW

FSF provides recurring business compliance services, including but not limited to:

• Annual report filings

• Beneficial Ownership Information (BOI) reporting

• Registered Agent services

• Corporate compliance and entity management

• Federal EIN (Employer Identification Number) filings

• Corporate amendment filings

• Dissolution and reinstatement services

• Foreign qualification filings

• Annual compliance monitoring and alerts

• Additional services provided through third-party providers

All subscriptions automatically renew at the end of each subscription period unless canceled as outlined in Section 4.

3. PAYMENT TERMS

1. Billing Cycle:

   • Subscriptions are billed at the beginning of each subscription period (e.g., monthly, annually) based on your selected plan.
   • By subscribing, you authorize FSF to automatically charge your payment method on file at the start of each billing cycle.

2. Automatic Renewal:

   • Your subscription automatically renews at the end of each billing cycle unless canceled before the renewal date.
   • By agreeing to these Terms, you authorize FSF to charge your payment method for each renewal period.

3. Sufficient Funds & Failed Payments:

   • You must ensure sufficient funds are available for your subscription payments.
   • If a payment attempt fails, FSF is not obligated to provide continued service.
   • If payment is not received after three attempts, your subscription may be suspended or terminated.

4. CANCELLATION POLICY

1. Cancel Anytime:

   • You may cancel your subscription at any time by:
     • Logging into your account.
     • Submitting a cancellation request through the Support Center.
   • Cancellations take effect at the end of the current billing cycle.

2. No Refunds for Unused Periods:

   • No refunds or credits will be issued for any unused subscription time, except as required by law.

5. REFUND POLICY

1. No Refunds on Subscription Fees:

   • All subscription fees are non-refundable.
   • You are responsible for the full billing cycle’s payment, regardless of cancellation date.

2. Refunds for FSF Service Errors:

   • Refunds are only issued in cases where an FSF error prevents service delivery.
   • Refund requests must be submitted via our Support Center.

6. SUBSCRIPTION MODIFICATIONS

1. Upgrading or Downgrading:

   • Subscription changes (upgrades/downgrades) can be managed via account settings.
   • Changes take effect at the start of the next billing cycle.
   • Downgrades do not qualify for refunds or prorated credits.

2. Additional Services:

   • Services purchased separately are billed independently and governed by separate terms.

7. SUBSCRIPTION SUSPENSION AND TERMINATION

1. Suspension for Non-Payment:

   • If a payment fails, your subscription may be suspended until the issue is resolved.
   • FSF is not liable for any disruptions due to non-payment.

2. Termination by FSF:

   • FSF reserves the right to terminate subscriptions at its discretion.
   • No refunds will be issued if termination results from non-payment, policy violations, or misuse.

8. FREE TRIALS AND PROMOTIONAL OFFERS

1. Free Trials:

   • Free trials begin on sign-up and last for the specified duration.
   • A valid payment method is required and will be charged unless you cancel before the trial ends.

2. Promotional Offers:

   • Discounts apply only during the promotional period.
   • Standard pricing resumes after the offer expires.

9. INSTALLMENT PAYMENTS

1. Installment Plans:

   • FSF may offer installment options for certain services.
   • If selected, you agree to make timely payments.

2. Missed Installments:

   • Missed payments may lead to service suspension.
   • FSF may require immediate full payment of any remaining balance.

10. GOVERNING LAW AND DISPUTE RESOLUTION

• These terms are governed by the laws of the State of Florida.
• Disputes must be resolved through binding arbitration in Tallahassee, Florida.
• Class-action lawsuits are waived.

11. CHANGES TO SUBSCRIPTION TERMS

• FSF may modify these terms at any time.
• Users will be notified of material changes via email or account notification.
• Continued use of services implies acceptance of revised terms.
