- Assistance with EIN (Employer Identification Number) applications.
- Annual Report Filings
- Filing state reports to maintain business compliance.
- Providing deadline tracking and reminders.
- Beneficial Ownership Information (BOI) Reporting
- Assistance with BOI compliance under federal regulations.
- Submission of required information to government agencies.
- Registered Agent Services
- Acting as the official point of contact for legal and government correspondence.
- Ensuring compliance with state regulations.
- Corporate Reinstatement Services
- Assisting dissolved or inactive entities in regaining good standing.

"Third-Party Providers" refers to external entities that facilitate or support FSF's Services, including:
- Government Agencies & Compliance Regulators
- State and federal agencies responsible for business filings, corporate registrations, and regulatory compliance.
- Examples: Secretary of State offices, IRS, FinCEN, and other government entities.
- FSF is not liable for delays, errors, or rejections by government agencies.
- Payment Processors & Financial Institutions
- Third-party payment platforms, banks, and financial service providers handling transactions on behalf of FSF.
- Examples: Stripe, PayPal, ACH processors, and credit card gateways.
- FSF does not store full payment details and is not responsible for third-party payment processing issues.
- Technology & Hosting Providers

- Current mailing address and contact details
- Valid email address and phone number
- Taxpayer Identification Number (TIN) or Employer Identification Number (EIN), if required

- Multiple Accounts & Account Sharing Restrictions
- Each user is permitted only one registered account, unless expressly approved by FSF.
- Account sharing, transfers, or resale are strictly prohibited.
- Unauthorized use or multiple accounts may lead to suspension or termination.
- Account Security & User Responsibility
Users are responsible for maintaining the security and confidentiality of their account credentials.

- If operating outside the United States, users are responsible for ensuring compliance with their local business regulations.
- FSF is not responsible for a user’s failure to comply with federal, state, or international regulations governing their business.

- All disputes related to account matters shall be governed by the laws of the State of Florida.
- Users agree to resolve disputes through arbitration in Tallahassee, Florida, as outlined in Section 8 – Dispute Resolution & Governing Law.
- Class-action lawsuits and jury trials are not permitted for account-related disputes.

- Other services via affiliates and third-party providers
FSF processes orders promptly, but processing times depend on external factors, including government agencies, third-party providers, and client responsiveness.
By using FSF's services, Clients ("User," "you," or "your") acknowledge that all processing times are estimates, not guarantees. Compliance deadlines remain the Client’s responsibility.
- Standard Processing Timeframes
- FSF processes orders within 3 business days, provided all required information is submitted correctly.
- State and federal agencies may take longer to process filings and approvals. FSF is not liable for such delays.
- Errors, missing documents, or incomplete information will cause delays until the Client provides corrections.
- Expedited processing is available for an additional fee, subject to external turnaround times.
- Factors That May Affect Processing Times
FSF prioritizes efficiency, but the following factors can impact turnaround times:
- Government & Regulatory Delays
- Processing backlogs at state or federal agencies.
- Regulatory changes, audits, or new legal requirements.

- Client Submission Errors or Omissions
- Incorrect or incomplete information from the Client.
- Rejected filings require Client corrections before resubmission.
- Third-Party Service Providers & Payment Processing
- FSF works with third-party services for payments, compliance, and expedited filings.
- Technical issues or backlogs at third-party providers may delay processing.
- Client Responsiveness & Communication
- FSF will notify Clients via email or the User Panel if additional information is required.
- Delays occur if Clients fail to respond promptly.
- Clients must regularly check their email and User Panel for updates.
- Government & Regulatory Delays
- Client Responsibilities & Compliance Obligations
Clients agree to:
- Submit complete and accurate information on time.
- Meet government deadlines to avoid penalties.
- Respond quickly to FSF requests for additional details.
- Review all filings for accuracy before submission.
- Monitor compliance obligations via the User Panel.
Failure to Provide Accurate Information May Result In:
- Processing delays, rejected filings, and resubmission fees.
- Late penalties imposed by government agencies.
- Loss of business entity status, fines, or regulatory action.
- No Liability for External Processing Delays
FSF is not responsible for delays, penalties, or legal consequences due to:
- Government processing times.
- Client errors, omissions, or incomplete submissions.
- Delays caused by third-party providers or payment processors.
- Failure to monitor deadlines or compliance requirements.
Clients assume full responsibility for ensuring their business remains in compliance.
5. PRICING, PAYMENTS & BILLING POLICIES

By using our services, you ("User," "Client," "you," or "your") agree to the pricing, payment terms, and non-refundable policies outlined here.
To ensure secure transactions, FSF partners with trusted third-party payment processors. We reserve the right to adjust pricing, payment terms, and accepted payment methods as needed.
- Payment Terms & Non-Refundable Fees
Payment for FSF services is due in full at the time of purchase, unless otherwise stated.

- Once a service enters processing, the payment is final and non-refundable, except under the conditions outlined in Section 6 (Refund & Cancellation Policy).

- If a payment is made in a foreign currency, conversion rates and associated fees are determined by the Client's financial institution or payment processor. FSF is not responsible for any exchange rate fluctuations.

6. REFUND POLICY

Due to the immediate nature of these services, all payments to FSF are final and non-refundable , except where explicitly stated in this Refund & Cancellation Policy.
By using our Website and Services, you ("User," "Client," "you," or "your") acknowledge that refunds and cancellations adhere strictly to the terms outlined here and that all refund requests must be submitted through the designated process before initiating any dispute or chargeback.
- Refund Request Process
To ensure transparency and efficiency, all refund requests must follow the process below:
- Submit a refund request via the User Panel
- Log into your account and navigate to "Billing and Payments" → "Request a Refund."
- Requests made via email, phone, or chat will not be processed.
- Provide required details
- Include your order number, transaction date, payment method, and reason for the refund request.
- Requests must be submitted within 7 days of purchase unless stated otherwise.
- Processing time
- Refund reviews and processing may take up to 10 business days.
- You will receive a confirmation email once your request is approved or denied.

- If a government agency rejects, delays, or modifies a filing, fees paid to them remain non-refundable.
- Third-Party Service Provider Fees
- FSF may engage third-party payment processors, compliance partners, or document preparation services on behalf of Clients.
- Fees charged by these providers are non-refundable, regardless of service status.
- Services Already Submitted or Completed
- Once a service has been submitted to a government agency or completed, no refunds will be issued.
- This includes:
- Business entity formations (LLCs, corporations, partnerships, etc.)
- Registered Agent services
- Annual report filings
- Beneficial Ownership Information (BOI) reports
- Corporation reinstatements
- Name reservations or amendments
- Expedited & Rush Services
- Expedited processing fees are non-refundable once an order has been placed.
- If a User requests faster service but the government agency does not process it on time, FSF is not responsible for external delays.
- State Filing Fees & Government Charges

- Provide legal representation or attorney-client privileges.
- Offer tax preparation or audit services.
- Act as a fiduciary or financial advisor.
Information provided by FSF is for informational purposes only. Clients should consult a licensed professional before making legal, tax, or financial decisions.
- No Liability for Delays, Technical Failures, or Force Majeure Events
FSF is not responsible for service disruptions caused by:
- Government processing delays.
- User errors, such as incorrect or incomplete filings.
- Technical failures, including website downtime or cybersecurity threats.
- Force majeure events (natural disasters, government actions, or unforeseen circumstances).
- Limitation of Liability & Financial Cap on Claims
To the maximum extent permitted by law, FSF's liability is strictly limited:
- Exclusion of Certain Damages

- Clients waive the right to seek damages beyond the amount paid for FSF's services.
- Maximum Financial Liability
- FSF's total liability shall not exceed the service fee paid by the Client.
- If no fee was paid, FSF’s liability shall not exceed $100.

8. DISPUTE RESOLUTION & GOVERNING LAW
- Overview
Florida State Filing, LLC ("FSF," "Company," "we," "us," or "our") is committed to providing quality services and resolving disputes efficiently. To reduce unnecessary litigation, all disputes related to FSF's Website, Services, or Terms of Use must first be submitted through the Support Center before any legal action is initiated.
By using our Website and Services, Users ("User," "Client," "you," or "your") agree to follow the dispute resolution procedures outlined in this section and waive the right to file or participate in class-action lawsuits against FSF.
- Mandatory Dispute Resolution Process
Before pursuing arbitration or legal action, the Client must:
- Submit a dispute resolution request through the Support Center.
- The request must include a detailed description of the issue, supporting documents, and any relevant correspondence.
- Allow FSF at least 14 business days to review and attempt resolution.
- Engage in good-faith discussions to resolve the dispute.
- If no resolution is reached within 30 days, proceed to arbitration.
Failure to follow this process before seeking arbitration or legal action constitutes a breach of this Agreement and may result in claim dismissal.
- Submit a dispute resolution request through the Support Center.
- Binding Arbitration Agreement
If a dispute cannot be resolved through the Support Center, both parties agree to resolve all claims through binding arbitration instead of litigation.
- Arbitration will be conducted under the rules of the American Arbitration Association (AAA).
- The arbitration will take place in Tallahassee, Florida, unless otherwise required by law.
- A neutral arbitrator will be selected by mutual agreement or appointed by the arbitration body.
- Arbitration proceedings will be conducted in English and remain confidential.
- The arbitrator's decision is final and binding, with limited appeal rights under the Federal Arbitration Act (FAA).
- Waiver of Class Action & Jury Trial Rights
By using FSF's Website and Services, Clients waive their right to participate in class-action lawsuits or mass arbitration against FSF.
- No Class Actions: Disputes must be filed individually and cannot be combined with other claims.
- No Jury Trials: Clients waive their right to a jury trial in any arbitration or legal proceeding.
- Governing Law & Jurisdiction

9. CHARGEBACKS, PAYMENT DISPUTES & PENALTIES

Florida State Filing, LLC ("FSF," "Company," "we," "us," or "our") provides essential business services, including business entity formation, compliance filings, registered agent services, and corporate solutions.Due to the nature of these services, all payments made to FSF are final and non-refundable once processing has begun.
To prevent fraudulent payment disputes, Users ("Client," "you," or "your") are prohibited from initiating chargebacks on valid transactions. By using FSF's Services, you acknowledge and expressly waive your right to dispute payments with your bank, credit card company, or payment provider.
If a chargeback or payment dispute is initiated in violation of this Agreement, FSF reserves the right to recover financial losses, impose penalties, and take legal action against the Client.
- Chargeback & Payment Dispute Waiver
By engaging with FSF, the Client agrees not to dispute or request a chargeback for payments related to:
- Business entity filings and registrations.
- Annual reports and compliance services.
- Beneficial Ownership Information (BOI) reporting.
- Registered Agent services.
- Any other FSF service, including those provided through third-party partners.
Clients must submit all billing inquiries and refund requests through FSF's Support Centerbefore attempting a dispute with their payment provider. Failure to do so constitutes a material breach of this Agreement.
- Refund & Dispute Resolution Process
To resolve any payment concerns, Clients must:
- Submit a refund request via the User Panel under "Billing and Payments" in the "Request a Refund" tab.
- Provide supporting documentation to justify the refund request.
- Allow up to 10 business days for FSF to investigate and respond.
- Cooperate with FSF's support team in resolving disputes.
If a Client fails to follow this process and initiates a chargeback, the penalties outlined inSection 9.4 will apply.
- Chargeback Recovery Fees & Financial Penalties
Clients who initiate a chargeback in violation of this Agreement will face the following penalties:
- Chargeback Recovery Fee
- A $500 non-refundable administrative fee per disputed transaction to cover processing and dispute resolution costs.
- Reversal of Chargeback & Account Reinstatement Fee
- Clients must repay the full disputed amount plus any payment processor fees.
- A $250 account reinstatement fee applies before account access is restored.
- Legal Action Fee & Collection Costs
- Clients subject to legal action must pay a $5,000 legal action fee plus all legal and court costs.
- Clients must reimburse FSF for additional damages, penalties, and collection fees.
- Blacklisting & Service Termination
- Clients who engage in fraudulent chargebacks may be permanently banned from FSF services.
- FSF may report repeat offenders to financial institutions, fraud databases, and credit agencies.

10. FAIR AND PROFESSIONAL CONDUCT

- Legal Consequences of Violating This Clause
If a User violates this clause, FSF may take the following actions:
- Cease-and-Desist Notice
- FSF may issue a written demand requiring the User to remove or retract false statements within 5 business days.

- FSF may pursue legal action for monetary damages.
- If found guilty of spreading false information, a court may award:
